Zarząd XTPL S.A. [“Emitent”, “Spółka”, “XTPL”] informuje, że w dniu 15 grudnia 2023 r. Spółka potwierdziła zamówienie złożone przez DETEKT Technologies Inc. z siedzibą na Tajwanie [„DETEKT”] na dostawę urządzenia Delta Printing System [“DPS”]. DETEKT jest podmiotem, która świadczy na rzecz Spółki usługi dystrybucji rozwiązań technologicznych XTPL S.A. (RB 48/2023 z dnia 8 września 2023 r.). Emitent zaakceptował złożone przez Dystrybutora zamówienie, co jest równoznaczne z zawarciem umowy sprzedaży. Spółka dostarczy i uruchomi wskazane urządzenie w pierwszej połowie 2024 r.

W tym przypadku sprzedaży DPS DETEKT, który reprezentuje Spółkę w roli dystrybutora, jest ostatecznym nabywcą urządzenia DPS. Urządzenie będzie wykorzystywane w celu demonstrowania możliwości technologii XTPL oraz samego Delta Printing System potencjalnym klientom akademickim oraz przemysłowym pracującym na terenie Tajwanu, szczególnie w obszarach aplikacyjnych takich jak półprzewodniki oraz wyświetlacze.

Przychody uzyskane z realizacji obecnego zamówienia urządzenia będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2024 r.

Zarząd Emitenta uznał fakt sprzedaży urządzenia DPS na znaczący rynek za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów.

Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

Content of the Report:

The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"] announces that on December 15, 2023. The Company has confirmed an order placed by DETEKT Technologies Inc. based in Taiwan ["DETEKT"] for the delivery of a Delta Printing System ["DPS"] device. DETEKT is an entity that provides the Company with distribution services for XTPL S.A.'s technology solutions. (current report 48/2023 dated September 8, 2023). The Issuer has accepted the order placed by the Distributor, which is tantamount to concluding a sales agreement. The Company will deliver and commission the indicated device in the first half of 2024.

In this sales case, DPS DETEKT, which represents the Company as a distributor, is the ultimate purchaser of the DPS device. The device will be used to demonstrate the capabilities of XTPL technology and the Delta Printing System itself to potential academic and industrial customers working in Taiwan, particularly in application areas such as semiconductors and displays.

The revenue generated from the current device order will have a positive impact on XTPL S.A.'s financial results achieved in 2024.

The Issuer's Management Board considered the sale of the DPS device to a significant market to be confidential information, as its implementation may have a significant impact on the Issuer's future revenue situation, the popularization of the Company's technological solutions, as well as the prospect of investors' perception of the Issuer.

For the reasons described above, the information provided in this current report, in the opinion of the Issuer's Management Board, meets the criteria for confidential information within the meaning of Article 7(1) of MAR.
