| Zarząd XTPL S.A. [“Emitent”, “Spółka”] informuje, że w dniu 23 grudnia 2021 roku Spółka przyjęła i potwierdziła zamówienie złożone przez Wydział Inżynierii Informacji / Dipartimento di Ingegneria dell’Informazione [„DII”] z Uniwersytetu w Brescii we Włoszech [“UniBs”, “Klient”] na dostawę urządzenia demonstracyjnego technologii Spółki: Delta Printing System. Emitent zaakceptował złożone przez Klienta zamówienie, co jest równoznaczne z zawarciem umowy sprzedaży. Spółka dostarczy i uruchomi wskazane urządzenie w pierwszej połowie 2022 roku. Delta Printing System będzie wykorzystywane przez zespół ekspertów w dziedzinie powstającej zintegrowanej elektroniki i bioelektroniki, fizyki zaawansowanych urządzeń półprzewodnikowych oraz struktur elektronicznych wykorzystujących jony jako nośniki sygnału elektrycznego. Urządzenie znajdzie zastosowanie także w symulacji i modelowaniu tranzystorów organicznych i amorficznych do wytworzenia nowoczesnych i ultraczułych, biodegradowalnych biosensorów organicznych. Wymienione prace będą realizowane głównie w grupie naukowej Mikroelektroniki i Rozwoju Technologii UniBs. Klient będzie też wykorzystywać Delta Printing System do prac badawczo-rozwojowych nad urządzeniami bioelektronicznymi z limitem wykrywalności do pojedynczej cząsteczki. Uniwersytet w Brescii znajduje się w pierwszej dziesiątce najlepszych włoskich uczelni wyższych. Od ponad 8 lat UniBs koncentruje swoją działalność edukacyjną oraz naukową w obszarach zdrowia i dobrostanu ludzi w otaczającym środowisku, poprzez integrację obszarów kulturowych i naukowych oraz współpracę z krajowymi i międzynarodowymi partnerami działającymi m.in. na rzecz zdrowia. Zarząd uznał fakt zawarcia umowy sprzedaży urządzenia Delta Printing System za informację poufną ze względu na jej istotną wartość i znaczenie dla obecnej skali działalności Spółki. Przychody uzyskane z realizacji zamówienia urządzenia będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2022 roku. Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR. | ||||||||||||

Title: Signing an agreement for the sale of the Delta Printing System with the University of Brescia Legal basis: Article 17(1) MAR – inside information Content: The Management Board of XTPL S.A. (the “Issuer”, “Company”) announces that on 23 December 2021, the Company accepted and confirmed an order from the Department of Information Engineering/ Dipartimento di Ingegneria dell’Informazione [„DII”] of the University of Brescia in Italy [“UniBs” “Customer”] for delivery of the Company's technology demonstrator: the Delta Printing System. The Issuer accepted the Customer’s order, which means that a sales contract was formed. The Company will deliver and commission the device in the first half of 2022. The Delta Printing System will be used by a team of experts in the area of emerging integrated electronics and bioelectronics, physics of advanced semiconductor and iontronic devices, simulation and modeling of organic and amorphous transistors for the production of modern and ultra-sensitive, biodegradable organic biosensors. Those activities will be carried out mainly by the research group of Microelectronics and Emerging Technologies at the UniBs. The Customer will also use the Delta Printing System for R&D work on bioelectronic devices with a single molecule detection limit. The University of Brescia is placed among the top 10 Italian universities. For over eight years, the UniBs has focused its educational and scientific activities in the areas of human health and well-being in the surrounding environment, through the integration of cultural and scientific areas and cooperation with national and international partners who promote health matters, among other things. The Management Board of XTPL S.A. has decided that the printer sale agreement is inside information due to their significant value and its importance in the context of the Company’s current business size. The revenue from the printer order will have a positive impact on XTPL’s financial performance in 2022. Accordingly, in the Management Board’s opinion, the information on the sale of the Delta Printing System meets the criteria of inside information within the meaning of Article 7(1) MAR. | |||
